1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the AdvisorShield platform, software, websites, and related services (collectively, the "Service").
By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not access or use the Service.
These Terms form a legally binding agreement between you and AdvisorShield Inc. ("AdvisorShield", "we", "our", or "us").
2. Description of the Service
AdvisorShield provides a technology platform only.
The Service is designed to help users:
- Organize, assemble, and store documentation
- Create timestamped records and audit trails
- Manage workflows related to compliance documentation
- Compile information into structured document packages
AdvisorShield does not:
- Provide legal advice
- Provide regulatory or compliance advice
- Determine suitability, disclosure adequacy, or completeness
- Select wording, content, or document inclusions
- Approve, certify, or validate compliance outcomes
All content, decisions, and final use of the Service remain entirely under the user's control and responsibility.
3. No Professional Advice
The Service is a documentation and workflow tool only.
Nothing provided by AdvisorShield—whether generated, suggested, automated, or templated—constitutes:
- Legal advice
- Regulatory guidance
- Compliance opinions
- Professional recommendations
You acknowledge that:
- Compliance requirements vary by jurisdiction, regulator, insurer, and product
- Only you (or your professional advisors) can determine what is appropriate
- You are solely responsible for reviewing, approving, and using all outputs
4. User Responsibilities
You agree that you are solely responsible for:
- The accuracy, completeness, and legality of all data entered or uploaded
- Determining what documents are created, included, excluded, or shared
- Ensuring your use of the Service complies with all applicable laws, rules, and professional obligations
- Maintaining confidentiality of login credentials and account access
- All activity occurring under your account
AdvisorShield assumes no responsibility for errors, omissions, or regulatory consequences arising from your use of the Service.
5. Account Security
You agree to:
- Provide accurate and current registration information
- Maintain the confidentiality of your credentials
- Notify AdvisorShield immediately of unauthorized access or suspected breaches
AdvisorShield is not liable for losses resulting from unauthorized access caused by user negligence.
6. Subscriptions, Billing & Cancellation
Billing
- Subscriptions are billed in advance on a monthly or annual basis
- Prices are listed in Canadian dollars and subject to applicable taxes
Cancellation
- You may cancel at any time
- Access continues until the end of the current billing period
- No refunds are provided for unused time unless explicitly stated
Refunds
- Monthly subscriptions are non-refundable
- Annual subscriptions may be eligible for limited refunds at AdvisorShield's discretion
AdvisorShield reserves the right to modify pricing and plans with notice.
7. Acceptable Use
You agree not to:
- Use the Service for unlawful or unauthorized purposes
- Upload malicious code or harmful content
- Attempt to access systems or data not intended for you
- Interfere with platform security, integrity, or availability
- Misrepresent AdvisorShield as providing legal or compliance certification
Violation may result in immediate suspension or termination.
8. Intellectual Property
AdvisorShield Property
All platform software, design, workflows, trademarks, and underlying technology are the exclusive property of AdvisorShield and its licensors.
No rights are granted except as expressly stated.
Your Content
You retain ownership of content you upload or create. You grant AdvisorShield a limited, non-exclusive, revocable license to store, process, and display that content solely to operate the Service.
9. Data & Privacy
Use of the Service is subject to the AdvisorShield Privacy Policy, which is incorporated by reference.
Data retention, deletion, and access rules are governed exclusively by that Policy.
10. No Guarantees
AdvisorShield makes no guarantees, including but not limited to:
- Regulatory acceptance
- Audit success
- Compliance sufficiency
- Legal defensibility
- Accuracy or completeness of documentation
- Fitness for any specific regulatory or professional purpose
The Service is provided "as is" and "as available."
11. Disclaimer of Warranties
To the maximum extent permitted by law, AdvisorShield disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or availability of the Service
12. Limitation of Liability
To the fullest extent permitted by law:
- AdvisorShield shall not be liable for indirect, incidental, special, consequential, or punitive damages
- AdvisorShield shall not be liable for regulatory actions, fines, penalties, or license consequences
- AdvisorShield's total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim
Some jurisdictions do not allow certain limitations; liability is limited to the maximum extent permitted.
13. Indemnification
You agree to indemnify, defend, and hold harmless AdvisorShield, its officers, directors, employees, and partners from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Service
- Your data or content
- Your professional activities
- Your violation of laws, regulations, or professional obligations
14. Termination
AdvisorShield may suspend or terminate access immediately if you:
- Violate these Terms
- Misuse the platform
- Create legal, security, or reputational risk
Upon termination:
- Access ceases immediately
- Data handling follows the Privacy Policy
- No refunds are owed unless required by law
15. Modifications to the Service or Terms
AdvisorShield may:
- Modify or discontinue features
- Update these Terms at any time
Material changes will be communicated. Continued use constitutes acceptance.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
You agree that any dispute shall be resolved exclusively in the courts of Ontario, Canada.
17. Severability
If any provision is found unenforceable, the remaining provisions remain in full force and effect.
